West Virginia offers low costs, a central East Coast location within a day’s drive of much of the country’s population, and a growing outdoor recreation economy. Forming an LLC costs $100, the annual report costs $25, and veteran-owned businesses can have filing fees waived. Here’s how to set up a West Virginia LLC and stay compliant.
What a West Virginia LLC costs
Table of Contents
| Item | Cost | When |
|---|---|---|
| Articles of Organization | $100 (waived for eligible veterans) | At formation |
| Annual report | $25 | January 1 to June 30 each year, from the year after formation |
| Late annual report | Late fee | If filed after the deadline |
| Business registration certificate | Issued when you register with the Tax Department | Before you start doing business |
| Contractor license (if applicable) | State fee | Before contracting work above the threshold |
Veteran fee waiver
West Virginia waives certain business filing fees for eligible veteran-owned businesses. If you’re a veteran, ask the Secretary of State’s office or check the One Stop Business Center about the documentation required. It can make forming your LLC free.
Step 1: Choose your LLC name
The name must include "limited liability company", "limited company", "LLC", "L.L.C.", "LC" or "L.C." and be distinguishable from other names on file. Search the Secretary of State’s business records, then check federal trademarks, domains and social handles with our business name checklist.
To trade under another name, register a DBA with the Secretary of State.
Step 2: Appoint a registered agent
West Virginia LLCs designate an agent for service of process, along with a principal office address. You can serve yourself, name another adult or use a commercial registered agent.
Step 3: File Articles of Organization
File Articles of Organization with the West Virginia Secretary of State, online through the One Stop Business Center or by mail, and pay $100. You’ll include the LLC’s name, principal office, agent, management structure, and the organizer’s information. The One Stop Business Center can also start your tax and employer registrations in the same session.
Step 4: Create an operating agreement
West Virginia doesn’t require you to file an operating agreement, but every LLC should have one, covering ownership, management, profit sharing and what happens when members join or leave.
Step 5: Get an EIN and open a bank account
Apply for a free EIN from the IRS online, then open a business bank account using your filed Articles and EIN. See choosing a business bank account.
Step 6: Register with the Tax Department
Register with the West Virginia Tax Department, which issues a business registration certificate that must be displayed at your place of business. Through the same registration you’ll set up:
- Sales and use tax, if you sell taxable goods or services. The state rate is 6%, and many municipalities add a 1% local tax.
- Employer withholding, if you hire.
Employers also register with WorkForce West Virginia for unemployment insurance.
Step 7: Get licenses and check local taxes
- Contractors need a West Virginia contractor license from the state’s labor division for most construction work above a modest dollar threshold, including many residential jobs. Get licensed before bidding.
- Municipal business and occupation taxes. Many West Virginia cities levy a business and occupation (B&O) tax on gross receipts, plus local business licenses. Check with each city where you operate.
- Many professions are licensed by state boards.
Step 8: File your annual report by the deadline
Every West Virginia LLC files an annual report with the Secretary of State between January 1 and June 30 each year, starting the year after formation. It costs $25. Late reports bring a late fee, and an LLC that keeps failing to file can be administratively dissolved.
How a West Virginia LLC is taxed
By default, LLC profits pass through to the owners, who pay federal income tax, self-employment tax and West Virginia’s personal income tax, which the state has been reducing in recent years. Multi-member LLCs taxed as partnerships file a West Virginia partnership return. West Virginia also lets eligible pass-through entities elect to pay tax at the entity level. LLCs electing C corporation status pay West Virginia corporate net income tax. Ask a tax professional which option suits you.

Beyond the federal steps in our first employee guide, West Virginia employers generally:
- Register for withholding with the Tax Department and unemployment insurance with WorkForce West Virginia.
- Carry workers’ compensation insurance, required once you have employees.

Outdoor recreation and tourism businesses
West Virginia’s mountains and rivers support a growing outdoor economy: whitewater rafting, climbing, mountain biking, fishing and lodging. If you’re starting one of these businesses:
- Check licensing for guides and outfitters, especially whitewater outfitters, which are regulated by the state.
- Plan for liability insurance, which is essential for adventure businesses, along with signed participant waivers.
- Confirm land-use permits for activities on state or federal land.
- Ask about local lodging taxes if you offer accommodation.

West Virginia rules for other common businesses
Food businesses. Restaurants and food trucks are permitted by county health departments. West Virginia’s cottage food rules let home cooks sell many foods directly to consumers. See our cottage food business guide.
Childcare. Child care centers and family child care homes are licensed or registered by the state’s human services agency. See our home daycare guide.

Mistakes to avoid
- Missing the June 30 annual report window.
- Contracting without a state contractor license.
- Overlooking municipal B&O taxes in the cities where you work.
- Forgetting to display your business registration certificate at each place of business, as the Tax Department requires.
- Assuming one city’s license covers another city, when each municipality may require its own.
- Not asking about the veteran fee waiver if you qualify.
- Letting your agent or address go out of date, so state notices and legal papers go astray.
