Oklahoma offers low costs, a central location and a growing small business scene in Oklahoma City, Tulsa and beyond. Forming an LLC costs $100 ($104 online), and keeping it in good standing takes one short annual certificate costing $25. Here’s how to set up an Oklahoma LLC and stay compliant.
What an Oklahoma LLC costs
Table of Contents
| Item | Cost | When |
|---|---|---|
| Articles of Organization | $100 by mail; $104 online | At formation |
| Annual certificate | $25 | By your LLC’s anniversary, each year |
| Trade name registration (if using a DBA) | Small state fee | When registering |
| Sales tax permit (if selling taxable goods or services) | Small fee | Before your first taxable sale |
Step 1: Choose your LLC name
The name must include "limited liability company", "limited company", "LLC", "L.L.C.", "LC" or "L.C." and be distinguishable from other names on file. Search the Secretary of State’s business records, then check federal trademarks, domains and social handles with our business name checklist.
To trade under another name, register a trade name with the Secretary of State.
Step 2: Appoint a registered agent
Every Oklahoma LLC needs a registered agent with a physical Oklahoma address, available during business hours. You can serve yourself, name another adult or use a commercial agent.
Step 3: File Articles of Organization
File Articles of Organization with the Oklahoma Secretary of State, online or by mail, and pay the fee. You’ll include the LLC’s name, its principal place of business, the registered agent and office, the LLC’s term, and the signature of the person filing. Online filings are usually processed quickly.
Step 4: Create an operating agreement
Oklahoma doesn’t require you to file an operating agreement, but every LLC should have one, covering ownership, management, profit sharing and what happens when members join or leave.
Step 5: Get an EIN and open a bank account
Apply for a free EIN from the IRS online, then open a business bank account using your filed Articles and EIN. See choosing a business bank account.
Step 6: Register for state taxes on OkTAP
Register with the Oklahoma Tax Commission through OkTAP, its online taxpayer access point, for:
- A sales tax permit, if you sell taxable goods or services. Oklahoma’s state sales tax is 4.5%, and most cities and counties add their own, often making combined rates fairly high.
- Employer withholding, if you hire.
Employers also register with the Oklahoma Employment Security Commission for unemployment insurance.
Step 7: Get local and professional licenses
Oklahoma has no general state business license, but:
- Cities such as Oklahoma City and Tulsa license certain business activities and require zoning approval for locations.
- Trades, including electrical, plumbing and mechanical work, are licensed by the state’s construction industries board, and roofing contractors must register with the state.
- Many professions are licensed by state boards.
Step 8: File your annual certificate by your anniversary
Every Oklahoma LLC files an annual certificate with the Secretary of State by the anniversary of its formation, confirming its information, for $25. An LLC that falls behind loses good standing and can eventually be canceled. Set a reminder a month before your anniversary.
How an Oklahoma LLC is taxed
By default, LLC profits pass through to the owners, who pay federal income tax, self-employment tax and Oklahoma’s graduated personal income tax, whose top rate the state has been lowering. Multi-member LLCs taxed as partnerships file an Oklahoma partnership return. Oklahoma also lets eligible pass-through entities elect to pay tax at the entity level. LLCs electing C corporation status pay Oklahoma corporate income tax. Ask a tax professional which option suits you.
Hiring your first employee in Oklahoma
Beyond the federal steps in our first employee guide, Oklahoma employers generally:
- Register for withholding on OkTAP and for unemployment insurance with the Oklahoma Employment Security Commission.
- Carry workers’ compensation insurance, which Oklahoma requires for most employers with employees.
- Report new hires to the state.

Oklahoma rules for common types of business
Contractors. Electrical, plumbing and mechanical contractors need state licenses, and roofers must register. General contractors aren’t licensed statewide, but cities may require registration or permits. See our home services industry profile.
Food businesses. Restaurants and food trucks are licensed by the state health department and some city-county health departments. Oklahoma’s home food law lets home cooks sell many foods directly to consumers within limits. See our cottage food business guide.
Childcare. Child care centers and homes are licensed by the state’s human services agency. See our home daycare guide.
Energy and agriculture. Oilfield services, ranching and farm businesses often have their own permits and regulators; check with the relevant state agency before starting.

Choosing where to base your business
Combined sales tax rates and local licensing differ noticeably between Oklahoma cities and counties, so the same retail or food business can face different costs a short drive apart. Before signing a lease, check the combined sales tax rate at the address, the city’s licensing and zoning rules, and any local permit fees, and include them in your break-even calculation. Home-based businesses should also confirm their city allows the activity at home.
Running an Oklahoma LLC from home
Many Oklahoma LLCs start at home: consultants, online sellers, home bakers, contractors’ offices and service businesses. A few points apply to most of them:
- Check your city’s home occupation rules. Many cities allow home-based businesses but limit signs, customer visits, employees and parking.
- Review your lease or HOA rules, which may restrict business activity even where the city allows it.
- Use a registered agent or business address if you’d rather not have your home address in public records.
- Talk to your insurer. Home insurance often excludes business activity, so you may need a business policy or rider.
- Keep business records separate, including a dedicated bank account, so home-office deductions are easy to support.
Mistakes to avoid
- Missing the annual certificate on your anniversary.
- Selling taxable goods without a sales tax permit.
- Doing electrical, plumbing, mechanical or roofing work without the state license or registration.
- Using an unregistered trade name.
- Mixing personal and business finances.
- Underestimating local sales tax when setting prices.
Frequently asked questions
How long does it take to form an Oklahoma LLC? Online filings are often processed within a day or two.
When is my first annual certificate due? By the first anniversary of your LLC’s formation. You can file it online in a few minutes through the Secretary of State’s website.
What if I miss it? Your LLC can lose good standing, which can cause problems with banks, lenders and contracts, and an LLC that stays behind can eventually be canceled. File as soon as you notice.
Does Oklahoma charge LLCs a franchise tax? Oklahoma’s franchise tax has applied to corporations rather than LLCs. An LLC’s recurring state filing is the $25 annual certificate, plus whatever sales and payroll taxes apply.
Can I be my own registered agent? Yes, with a physical Oklahoma address where you’re available during business hours.
Is my LLC’s information public? Your LLC’s name, registered agent and office appear in the Secretary of State’s records.
