Nevada has long been marketed as a business haven: no personal or corporate income tax, strong liability protections and a business court system. Those benefits are real, but Nevada is also one of the most expensive states to keep an LLC: about $425 to form and $350 every year. For a business operating in Nevada, that’s often worth it. For one operating somewhere else, it usually isn’t.

Item Cost When
Articles of Organization $75 At formation
Initial List of Managers or Managing Members $150 At formation
State Business License $200 At formation
Total to form $425
Annual List $150 Yearly, by the end of your anniversary month
State Business License renewal $200 Yearly, with the Annual List
Yearly total $350
Late penalties $75 (list) and $100 (license) If filed late

Step 1: Choose your LLC name

The name must include "limited liability company", "limited company", "LLC", "L.L.C.", "LC" or "L.C." and be distinguishable from other names on file. Search the Secretary of State’s business records, then check federal trademarks, domains and social handles with our business name checklist.

To trade under another name, register a fictitious firm name with the county clerk where you do business.

Step 2: Appoint a registered agent

Every Nevada LLC needs a registered agent with a physical Nevada address, available during business hours. If you don’t live in Nevada, you’ll need a commercial registered agent, which adds a yearly cost.

Step 3: File the Articles, Initial List and State Business License together

Nevada requires three filings at formation, and the state’s SilverFlume portal bundles them:

  1. Articles of Organization ($75), which create the LLC.
  2. Initial List of Managers or Managing Members ($150), naming who runs the LLC.
  3. State Business License ($200), required for most businesses operating in or registered in Nevada.

Online filings are usually processed quickly, and expedited options are available.

Step 4: Create an operating agreement

Nevada doesn’t require you to file an operating agreement, but every LLC should have one, covering ownership, management, profit sharing and what happens when members join or leave.

Step 5: Get an EIN and open a bank account

Apply for a free EIN from the IRS online, then open a business bank account using your filed Articles and EIN. See choosing a business bank account.

Step 6: Register for state taxes

Register with the Nevada Department of Taxation for:

  • Sales and use tax, if you sell taxable goods. Nevada’s combined rates are among the higher ones in the West, varying by county.
  • Modified Business Tax, a tax on payroll once wages pass a quarterly exemption, if you have employees.
  • Commerce Tax, which applies only to businesses with Nevada gross revenue above $4 million a year.

Employers also register with the state’s employment security division for unemployment insurance.

Step 7: Get local and professional licenses

  • Cities and counties, including Las Vegas, Henderson, Reno and Clark County, require their own business licenses, with fees that can exceed the state’s.
  • Contractors need a license from the Nevada State Contractors Board for most construction work, one of the strictest regimes in the country, with only a narrow exemption for very small jobs.
  • Many professions and gaming-related businesses have additional licensing.

Step 8: File your Annual List and renew your business license every year

Every Nevada LLC files an Annual List ($150) and renews its State Business License ($200) each year, generally by the last day of its anniversary month, through SilverFlume. Late filings bring penalties, and an LLC that stays behind becomes revoked, with reinstatement costing considerably more.

How a Nevada LLC is taxed

Nevada has no personal or corporate income tax, so the state doesn’t tax your LLC’s profits. Owners still pay federal income tax and self-employment tax. The main state taxes most businesses deal with are sales tax and, for employers, the Modified Business Tax. The Commerce Tax applies only to large businesses.

Nevada privacy: what it does and doesn’t cover

Nevada is often described as offering anonymity. In practice, the Initial and Annual Lists name the LLC’s managers or managing members, and those lists are public. Nevada doesn’t require listing non-managing members or ownership percentages. Some owners appoint a manager or nominee service to keep their own names off the list, but banks, the IRS and courts can still identify owners. Treat privacy as a layer, not a shield.

Nevada versus Wyoming versus your home state

Nevada Wyoming Your home state
Formation $425 $100 Varies
Yearly state cost $350 $60 minimum Varies
State income tax None None Often yes
Owners on public record Managers listed Not required Varies
If you operate elsewhere Must also register at home Must also register at home —

If your business operates in Nevada, a Nevada LLC is the natural choice. If you live and work in another state, a Nevada LLC usually means paying Nevada’s $350 a year plus your home state’s fees, and you’ll still owe your home state’s income tax. See our Wyoming and Delaware guides for comparison.

Hiring your first employee in Nevada

Beyond the federal steps in our first employee guide, Nevada employers generally:

  • Register for unemployment insurance and the Modified Business Tax.
  • Carry workers’ compensation insurance, required once you have employees.
  • Provide paid leave under Nevada law, which applies to many employers.
  • Report new hires to the state.

Because there’s no state income tax, there’s no state income tax withholding.

Your Nevada LLC compliance calendar

Deadline Filing Paid to
End of your anniversary month, yearly Annual List ($150) and business license renewal ($200) Secretary of State
Monthly or quarterly Sales tax returns Department of Taxation
Quarterly Modified Business Tax and unemployment, if you have employees Department of Taxation; employment security division
Yearly, if over $4 million in revenue Commerce Tax return Department of Taxation
As required City and county business license renewals Local government

Example: state costs for your first two years

For a single-member LLC operating in Nevada:

Year 1 Year 2
Articles, Initial List and State Business License $425 —
Annual List and license renewal — $350
State total $425 $350

Add city or county business licenses, which can be significant in Las Vegas and Clark County, a commercial registered agent if you need one, and any professional or contractor licenses. Over five years, state fees alone come to about $1,825. Use our startup cost calculator to plan.

Nevada rules for common types of business

Food businesses. Restaurants and food trucks are permitted by regional health districts, such as the Southern Nevada Health District. Nevada’s cottage food rules let some home cooks sell certain foods. See our cottage food business guide.

Short-term rentals. Clark County, Las Vegas and Reno regulate short-term rentals strictly, with permits, caps and local room taxes.

Events and entertainment. Event, nightlife and hospitality businesses often need additional local licenses, and some activities touch gaming regulation.

Mistakes to avoid

  • Budgeting only the $75 Articles fee, when formation really costs $425.
  • Forming in Nevada to avoid your home state’s taxes, which generally doesn’t work.
  • Missing the Annual List and license renewal, which brings penalties and revocation.
  • Doing contractor work without a Contractors Board license.
  • Assuming Nevada keeps owners completely anonymous.

Frequently asked questions

Why does a Nevada LLC cost so much each year? The $200 State Business License renewal and $150 Annual List add up to $350, higher than most states.

Does Nevada have a state income tax? No, neither personal nor corporate.

Can I be my own registered agent? Yes, with a physical Nevada address where you’re available during business hours.

When is my first Annual List due? By the end of your LLC’s anniversary month, one year after formation. SilverFlume shows the exact date.

What happens if my LLC is revoked? It loses good standing and the right to do business until you file the missing lists, renew the license and pay penalties and reinstatement fees.
