Item Cost When
Certificate of Organization $50 At formation
Biennial report $30 online (more on paper) January 1 to April 1 of odd-numbered years
Sales tax permit (if selling taxable goods or services) No fee Before your first taxable sale
Contractor registration (if applicable) State fee Before doing construction work

Averaged over time, Iowa’s state filing cost is just $15 a year.

Step 1: Choose your LLC name

The name must include "limited liability company", "LLC" or "L.L.C." and be distinguishable from other names on file. Search the Secretary of State’s business records, then check federal trademarks, domains and social handles with our business name checklist.

If you plan to operate under a name different from your LLC’s legal name, ask the Secretary of State’s office and your county recorder how to register it, so customers and banks can connect the name to your LLC.

Step 2: Appoint a registered agent

Every Iowa LLC needs a registered agent with a physical Iowa address, available during business hours. You can serve yourself, name another adult or use a commercial agent.

Step 3: File the Certificate of Organization

File a Certificate of Organization with the Iowa Secretary of State, online through its fast-track filing system or by mail, and pay $50. You’ll include the LLC’s name, registered agent and office, and principal office address. Online filings are typically processed quickly.

Step 4: Create an operating agreement

Iowa doesn’t require you to file an operating agreement, but every LLC should have one, covering ownership, management, profit sharing and what happens when members join or leave.

Step 5: Get an EIN and open a bank account

Apply for a free EIN from the IRS online, then open a business bank account using your filed Certificate and EIN. See choosing a business bank account.

Step 6: Register for state taxes

Register with the Iowa Department of Revenue through its online portal for:

  • A sales tax permit, if you sell taxable goods or services. Iowa’s state rate is 6%, and most areas add a 1% local option tax.
  • Employer withholding, if you hire.

Employers also register with Iowa Workforce Development for unemployment insurance.

Step 7: Get licenses and registrations

  • Contractors who earn more than a small amount a year from construction work must register with the state’s labor division before working. Electricians, plumbers and HVAC trades have separate state licenses.
  • Many professions are licensed through state boards.
  • Cities and counties handle zoning, permits and some local licenses.

Step 8: File your biennial report in odd-numbered years

Iowa LLCs file a biennial report with the Secretary of State between January 1 and April 1 of odd-numbered years, starting with the first odd-numbered year after formation. The fee is $30 online. LLCs that don’t file can be administratively dissolved. Because the report comes around only every other year, set a reminder well in advance.

How an Iowa LLC is taxed

By default, LLC profits pass through to the owners, who pay federal income tax, self-employment tax and Iowa’s flat 3.8% personal income tax, in effect since 2025. Multi-member LLCs taxed as partnerships file an Iowa partnership return. Iowa also lets eligible pass-through entities elect to pay tax at the entity level. LLCs electing C corporation status pay Iowa corporate income tax, which has also been reduced. Ask a tax professional which option suits you.

What Iowa’s flat tax means for LLC owners

Iowa replaced its graduated income tax brackets with a single 3.8% rate starting in 2025, after several years of cuts. For LLC owners, that makes planning simpler: your Iowa tax on pass-through profits is roughly 3.8% of your Iowa taxable income, whatever your income level. It also narrows the gap between Iowa and lower-tax neighbors, which matters if you’re deciding where to base a business near a state line.

Federal income tax and self-employment tax are still the biggest taxes most LLC owners pay, so use our service pricing calculator to build all of them into your prices.

Local option sales tax

Most Iowa cities and counties add a 1% local option sales tax to the state’s 6% rate, and a few areas have additional local taxes. If you sell from more than one location, or deliver to customers in different places, check the rate for each address before you set prices and file returns.

Hiring your first employee in Iowa

Beyond the federal steps in our first employee guide, Iowa employers generally:

  • Register for withholding with the Department of Revenue and unemployment insurance with Iowa Workforce Development.
  • Carry workers’ compensation insurance, required once you have employees.
  • Report new hires to the state.

Iowa rules for common types of business

Agriculture and farm businesses. Many Iowa LLCs own or operate farmland, livestock or agritourism businesses. Agricultural landholding rules, zoning and specific permits can apply; involve an attorney or accountant familiar with farm businesses. See our ideas for small farm businesses.

Food businesses. Restaurants and food trucks are licensed through the state inspections agency or local health departments. Iowa’s home food rules let some home cooks sell many foods directly to consumers. See our cottage food business guide.

Childcare. Child care centers and child development homes are licensed or registered with the state’s health and human services department. See our home daycare guide.

Mistakes to avoid

  • Forgetting the biennial report, which only comes around in odd-numbered years.
  • Doing construction work without contractor registration.
  • Selling taxable goods without a sales tax permit.
  • Letting your registered agent lapse, so legal papers and state notices go astray.
  • Mixing personal and business finances.
  • Charging the wrong local option tax when selling in more than one city or county.

Frequently asked questions

How long does it take to form an Iowa LLC? Online filings are usually processed within a day or two, and you’ll receive your filed Certificate electronically.

When is my first biennial report due? Between January 1 and April 1 of the first odd-numbered year after your LLC is formed.

Does Iowa have a franchise tax for LLCs? No. Iowa’s recurring state cost for most LLCs is the biennial report.
