Mississippi has some of the lowest business costs in the country, and its LLC rules match: $50 to form online and a free annual report. That makes it one of the cheapest states to keep an LLC in good standing. The details to get right are the April 15 report deadline, sales tax and local privilege licenses.
What a Mississippi LLC costs
Table of Contents
| Item | Cost | When |
|---|---|---|
| Certificate of Formation | $50 | At formation (online) |
| Annual report | Free for domestic LLCs | January 1 to April 15, from the year after formation |
| Sales tax permit (if selling taxable goods or services) | No fee | Before your first taxable sale |
| Local privilege license | Set by city or county | Yearly, if required |
Step 1: Choose your LLC name
The name must include "limited liability company", "LLC" or "L.L.C." and be distinguishable from other names on file. Search the Secretary of State’s business records, then check federal trademarks, domains and social handles with our business name checklist.
Step 2: Appoint a registered agent
Every Mississippi LLC needs a registered agent with a physical Mississippi address, available during business hours. You can serve yourself, name another adult or use a commercial agent.
Step 3: File the Certificate of Formation online
Mississippi handles LLC formation online through the Secretary of State’s business portal. File a Certificate of Formation and pay $50. You’ll include the LLC’s name, registered agent and office, principal office address, and the organizer’s information. Approval is usually quick.
Step 4: Create an operating agreement
Mississippi doesn’t require you to file an operating agreement, but every LLC should have one, covering ownership, management, profit sharing and what happens when members join or leave.
Step 5: Get an EIN and open a bank account
Apply for a free EIN from the IRS online, then open a business bank account using your filed Certificate and EIN. See choosing a business bank account.
Step 6: Register for state taxes
Register with the Mississippi Department of Revenue through its online system for:
- A sales tax permit, if you sell taxable goods or services. Mississippi’s state sales tax rate is 7%, one of the higher state rates, and a few cities add local tax.
- Employer withholding, if you hire.
Employers also register with the Department of Employment Security for unemployment insurance.
Step 7: Get local and professional licenses
- Privilege licenses. Many Mississippi cities and counties require a business privilege license, often renewed yearly.
- Contractors. The state board of contractors licenses commercial and residential contractors above set dollar thresholds, with a lower threshold for residential remodeling. Get licensed before bidding.
- Many professions are licensed by state boards.
Step 8: File your free annual report by April 15
Every Mississippi LLC files an annual report with the Secretary of State between January 1 and April 15 each year, starting the year after formation. For domestic LLCs, it’s free. Because there’s no fee, it’s easy to forget, but missing it can lead to administrative dissolution. Set a reminder each January.
Filing the annual report: a five-minute routine
Because the report is free and short, the main risk is simply forgetting it. A simple routine helps:
- Create an online account with the Secretary of State and link your LLC, so you can file in a few minutes.
- Set a reminder for mid-January each year, when the filing window opens.
- Confirm your details: registered agent, principal office address and the people managing the LLC.
- Save the confirmation with your business records.
- Update your details whenever they change, not just once a year.
Banks, landlords and government agencies sometimes ask for proof of good standing, which is easy to provide when your reports are current.
How a Mississippi LLC is taxed
By default, LLC profits pass through to the owners, who pay federal income tax, self-employment tax and Mississippi’s flat personal income tax on income above an exempt amount, a rate the state is gradually reducing. Multi-member LLCs taxed as partnerships file a Mississippi partnership return. LLCs electing C corporation status pay Mississippi corporate income tax, and Mississippi’s corporate franchise tax has been phasing down. Ask a tax professional which option suits you.
Hiring your first employee in Mississippi
Beyond the federal steps in our first employee guide, Mississippi employers generally:
- Register for withholding with the Department of Revenue and unemployment insurance with the Department of Employment Security.
- Carry workers’ compensation insurance once they have five or more employees.
- Use E-Verify, which Mississippi requires employers to use for new hires.
- Report new hires to the state.

Mississippi rules for common types of business
Food businesses. Restaurants and food trucks are permitted by the state health department. Mississippi’s cottage food rules let home cooks sell many non-perishable foods directly to consumers within a yearly sales limit, without a permit. See our cottage food business guide.
Childcare. Child care facilities are licensed by the state health department. See our home daycare guide.
Gulf Coast tourism and rentals. Coastal cities have their own rules and taxes for short-term rentals, hotels and tourism businesses.
Agriculture and timber. Farm, timber and catfish businesses often deal with state agriculture and forestry agencies and specific permits.
Choosing where to base your business
Mississippi’s state costs are low everywhere, but local rules differ. Before choosing a location:
- Ask the city or county clerk about privilege licenses and their fees.
- Check zoning for your type of business, including home occupation rules.
- Confirm local sales tax where you’ll sell, especially in cities with additional taxes for tourism.
- Consider customers across state lines. Businesses near Memphis, Mobile or the Louisiana border often serve customers in neighboring states, which can mean registering there too.

Mistakes to avoid
- Forgetting the free annual report because there’s no bill to remind you.
- Selling taxable goods without a sales tax permit, at a 7% state rate.
- Skipping local privilege licenses in the city or county where you operate.
- Not using E-Verify when hiring.
- Contracting above Mississippi’s licensing thresholds without a license.
- Letting your registered agent lapse, so legal papers and state notices go to the wrong place.
- Ignoring local tourism taxes if you run lodging or food businesses on the coast or in other tourist areas.
