Kansas sits at the center of the country, with a strong agricultural and aviation economy and a large share of the Kansas City metro area. Its LLC rules changed recently: since 2024, Kansas LLCs file an Information Report every two years instead of every year. Fee figures in published guides vary more for Kansas than for most states, so this guide flags which numbers to confirm with the Secretary of State before you file.

Item Cost When
Articles of Organization About $85 online in recent fee schedules (some sources show $160) At formation
Biennial Information Report About $90 online in recent sources (some show $50 or $100) April 15, every two years
Late report About $85 in combined penalties If filed after April 15
Sales tax registration (if selling taxable goods or services) No fee Before your first taxable sale

Why the ranges? Kansas changed both its reporting cycle and its fees in recent years, and many websites haven’t caught up. The Secretary of State’s fee schedule is the final word; check it on the day you file.

Step 1: Choose your LLC name

The name must include "limited liability company", "LLC", "L.L.C.", "limited company", "LC" or "L.C." and be distinguishable from other names on file. Search the Secretary of State’s business records, then check federal trademarks, domains and social handles with our business name checklist.

Step 2: Appoint a registered agent

Every Kansas LLC needs a registered agent with a physical Kansas address, available during business hours. You can serve yourself, name another adult or use a commercial agent.

Step 3: File Articles of Organization

File Articles of Organization with the Kansas Secretary of State, online or by mail. You’ll include the LLC’s name, registered agent and office, and the organizer’s signature, plus the LLC’s tax closing month, which sets your reporting schedule. Online filings are usually processed quickly.

Step 4: Create an operating agreement

Kansas doesn’t require you to file an operating agreement, but every LLC should have one, covering ownership, management, profit sharing and what happens when members join or leave.

Step 5: Get an EIN and open a bank account

Apply for a free EIN from the IRS online, then open a business bank account using your filed Articles and EIN. See choosing a business bank account.

Step 6: Register for state taxes

Register with the Kansas Department of Revenue for:

  • Sales tax, if you sell taxable goods or services. Kansas’s state rate is 6.5%, local taxes are added, and the state’s sales tax on groceries was eliminated in 2025.
  • Employer withholding, if you hire.

Employers also register with the Kansas Department of Labor for unemployment insurance.

Step 7: Get licenses and registrations

  • Roofing contractors must register with the Kansas Attorney General before doing roofing work.
  • General contractors aren’t licensed statewide; many cities and counties, including those in the Kansas City and Wichita areas, license contractors and trades locally.
  • Many professions are licensed by state boards.
  • Cities handle zoning, permits and some business licenses.

Step 8: File your biennial Information Report by April 15

Since 2024, Kansas LLCs file an Information Report every two years, due April 15 (for LLCs with a December tax year end), in even or odd years matching the year of formation. An LLC formed in 2026 files its first report by April 15, 2028.

If the report isn’t filed by April 15, penalties apply, and if it’s still unfiled 90 days later, the LLC forfeits its Articles of Organization. Reinstatement is possible but costs more.

How a Kansas LLC is taxed

By default, LLC profits pass through to the owners, who pay federal income tax, self-employment tax and Kansas personal income tax, which the state simplified to two brackets in 2024. Multi-member LLCs taxed as partnerships file a Kansas partnership return. Kansas also lets eligible pass-through entities elect to pay tax at the entity level. LLCs electing C corporation status pay Kansas corporate income tax. Ask a tax professional which option suits you.

Kansas City: working across the state line

The Kansas City metro area spans Kansas and Missouri, and many businesses work on both sides. Two things to know:

  • Registration. If your Kansas LLC regularly does business in Missouri, it may need to register there as a foreign LLC, and vice versa.
  • Kansas City, Missouri’s earnings tax. Work performed within Kansas City, Missouri can bring its 1% earnings tax into play, even for Kansas-based businesses and residents in some situations.

See our Missouri guide for the Missouri side.

Hiring your first employee in Kansas

Beyond the federal steps in our first employee guide, Kansas employers generally:

  • Register for withholding with the Department of Revenue and unemployment insurance with the Department of Labor.
  • Carry workers’ compensation insurance once their gross annual payroll exceeds a modest threshold.
  • Report new hires to the state.

Your Kansas LLC compliance calendar

Deadline Filing Paid to
April 15, every two years Information Report Secretary of State
Monthly, quarterly or yearly Sales tax returns Department of Revenue
As assigned Employer withholding, if you have employees Department of Revenue
Quarterly Unemployment insurance reports, if you have employees Department of Labor
As required Roofing registration and local license renewals Attorney General; city or county

Keeping track of a two-year cycle

Biennial reporting halves the paperwork, but it makes the deadline easier to forget. A few habits help:

  • Write down your reporting year. If your LLC was formed in an even year, your reports fall in even years; if formed in an odd year, odd years.
  • Set a reminder for January of each reporting year, giving you three months before April 15.
  • Keep your registered agent current between reports. Kansas sends notices to the agent, and an out-of-date agent means missed notices.
  • Check your status before big moments, such as applying for a loan or bidding on a public contract, since good standing is often required.

If your LLC has been forfeited, reinstate it promptly and confirm that bank accounts, licenses and contracts weren’t affected.

Example: state costs for your first two years

For a single-member LLC formed online in 2026, using the most recent published figures:

2026 2027 2028
Articles of Organization About $85 — —
Information Report — — About $90

Confirm both amounts with the Secretary of State. Add local licenses and any professional or contractor registration, and use our startup cost calculator to plan.

Kansas rules for common types of business

Food businesses. Restaurants and food trucks are licensed by the state agriculture department. Kansas lets home cooks sell many non-potentially-hazardous foods directly to consumers. See our cottage food business guide.

Childcare. Child care facilities and homes are licensed by the state health and environment department. See our home daycare guide.

Agriculture and aviation. Farm businesses and aviation suppliers, a major Wichita industry, often have their own permits and regulators.

Kansas compared with nearby states

State Filing fee Recurring state report
Kansas About $85 online (confirm) Biennial Information Report
Missouri $50 online None
Nebraska $100 online, plus publication $25 every two years
Oklahoma $100 ($104 online) $25 yearly
Colorado $50 $25 yearly

See our Oklahoma, Nebraska and Colorado guides.

Mistakes to avoid

  • Relying on outdated fee figures; check the Secretary of State’s fee schedule.
  • Assuming the report is still yearly, or forgetting it because it’s every other year.
  • Missing the 90-day window after April 15, which leads to forfeiture.
  • Doing roofing work without registering with the Attorney General.
  • Overlooking Missouri obligations when working across the Kansas City state line.

Frequently asked questions

Is my LLC’s information public? Your LLC’s name, registered agent and office appear in the Secretary of State’s records.
