Hawaii’s tourism, military, agriculture and local service economies support a large community of small businesses. Forming an LLC is cheap, $50 to file and $12.50 a year online, but running a business in Hawaii carries costs found almost nowhere else: a general excise tax on nearly all business income, and employer rules that include mandatory health coverage for many employees.
What a Hawaii LLC costs
Table of Contents
| Item | Cost | When |
|---|---|---|
| Articles of Organization | $50 (slightly more online with processing fee) | At formation |
| Annual report | $12.50 online; $15 on paper | By the end of your registration quarter, each year |
| General excise tax license | Small one-time fee | Before you start doing business |
| Trade name registration (if using a DBA) | State fee | When registering |
| Contractor license (if applicable) | State fees | Before contracting work above the threshold |
Step 1: Choose your LLC name
The name must include “limited liability company”, “limited company”, “LLC”, “L.L.C.”, “LC” or “L.C.” and be distinguishable from other names on file. Search the Business Registration Division’s records, then check federal trademarks, domains and social handles with our business name checklist.
To trade under another name, register a trade name with the Business Registration Division.
Step 2: Appoint a registered agent
Every Hawaii LLC needs a registered agent with a physical Hawaii address, available during business hours. You can serve yourself, name another adult or use a commercial agent.
Step 3: File Articles of Organization
File Articles of Organization with the Business Registration Division of the Department of Commerce and Consumer Affairs, online through Hawaii Business Express or by mail, and pay the fee. You’ll include the LLC’s name, mailing address, registered agent, management structure, and the organizer’s information. Online filings are usually processed quickly.
Step 4: Create an operating agreement
Hawaii doesn’t require you to file an operating agreement, but every LLC should have one, covering ownership, management, profit sharing and what happens when members join or leave.
Step 5: Get an EIN and open a bank account
Apply for a free EIN from the IRS online, then open a business bank account using your filed Articles and EIN. See choosing a business bank account.
Step 6: Get a general excise tax license
Hawaii doesn’t have a sales tax. Instead, it levies a general excise tax (GET) on the gross income of nearly every business, including services, rentals, commissions and sales of goods. Key points:
- Almost everyone needs a GET license, from contractors and consultants to shops and short-term rental hosts.
- It’s a tax on the business, though most businesses pass it on to customers, often as a visible line on the invoice.
- The rate is 4%, plus a county surcharge in most counties, so many businesses effectively pay around 4.5%. Wholesale activity is taxed at a lower rate.
- It applies to gross income, not profit, so you owe it even in a loss year.
Register with the Hawaii Department of Taxation through Hawaii Business Express. Lodging businesses also register for the transient accommodations tax, and counties levy their own accommodations taxes.
Step 7: Get licenses and permits
- Contractors must be licensed by the state’s contractors license board for most jobs above a low dollar threshold, one of the strictest requirements in the country.
- Many professions are licensed through the state’s professional and vocational licensing division.
- Counties handle zoning, building permits and short-term rental rules, which are especially strict on Oahu and Maui.
Step 8: File your annual report each year
Hawaii LLCs file an annual report with the Business Registration Division by the end of the calendar quarter in which their registration date falls, starting the year after formation. It costs $12.50 online. LLCs that don’t file can be administratively dissolved.
| If your LLC was registered in… | Your annual report is due by… |
|---|---|
| January, February or March | March 31 |
| April, May or June | June 30 |
| July, August or September | September 30 |
| October, November or December | December 31 |
How a Hawaii LLC is taxed
By default, LLC profits pass through to the owners, who pay federal income tax, self-employment tax and Hawaii’s graduated personal income tax, which has one of the higher top rates in the country. Multi-member LLCs taxed as partnerships file a Hawaii partnership return. LLCs electing C corporation status pay Hawaii corporate income tax. The GET applies separately, on gross income. Ask a tax professional which option suits you.
Hiring your first employee in Hawaii
Hawaii has some of the most comprehensive employer requirements in the country. Beyond the federal steps in our first employee guide, employers generally:
- Provide health coverage under the Prepaid Health Care Act for employees who work at least 20 hours a week for four consecutive weeks, with limits on how much employees can be charged.
- Provide temporary disability insurance (TDI), which covers employees for non-work-related illness or injury.
- Carry workers’ compensation insurance, required once you have employees.
- Register for state withholding with the Department of Taxation and unemployment insurance with the Department of Labor and Industrial Relations.
- Report new hires to the state.
Budget for these costs before hiring. Our break-even calculator helps you check whether a hire pays for itself.

GET is owed on your gross income in addition. Add any contractor or professional license. Use our startup cost calculator to plan.
Pricing with the general excise tax
Because GET applies to almost everything, it shapes pricing:
- Many businesses add GET to invoices at a slightly higher “pass-on” rate, because the GET is also charged on the amount you collect for it.
- Include GET in quotes so customers aren’t surprised.
- Remember it applies to services, not just goods.
Our service pricing calculator helps you set a rate that covers costs and taxes.
Hawaii rules for common types of business
Food businesses. Restaurants, food trucks and caterers need permits from the state health department’s food safety program. Hawaii also allows some homemade foods to be sold directly to consumers under specific conditions; check current health department rules before starting. See our cottage food business guide.
Tourism and activities. Tour operators, ocean activity businesses and guides may need permits from state and county agencies, especially for activities in state parks, harbors and ocean waters, and they carry significant liability risk.
Short-term rentals. Counties regulate vacation rentals tightly, with permits, zoning restrictions and minimum stays in many areas, plus GET and accommodations taxes.
Childcare. Child care centers and family child care homes are licensed or registered by the state human services department. See our home daycare guide.
Mistakes to avoid
- Operating without a GET license, which almost every business needs.
- Underestimating employer costs under the Prepaid Health Care Act and TDI.
- Contracting without a license above Hawaii’s low threshold.
- Running a short-term rental without county approval and accommodations tax registration.
- Missing the annual report in your registration quarter.
- Forgetting that GET is owed in a loss year, since it’s based on gross income rather than profit.
