State income tax
5% flat, plus a 4% surtax on income above about $1 million
Where to file

Figures as of October 2026. Sources are listed at the end of this page.

Massachusetts has a highly educated workforce and strong markets in Boston, Worcester, Springfield and beyond. It also has the highest LLC fees in the country: $500 to form an LLC and $500 every year after that. For many businesses the liability protection is still worth it, but it’s a decision to make with the numbers in front of you.

Business certificate (DBA) Small fee, set by your city or town When you start trading under another name
Online filing Small processing or convenience fee may apply When filing online

Over five years, a Massachusetts LLC costs at least $2,500 in state filing fees alone, far more than in most states.

Is an LLC worth it in Massachusetts?

Because the fees are so high, compare the alternatives first:

  • Sole proprietorship. No state filing fee, but no separation between your personal and business liabilities. You’d file a business certificate with your city or town if you use a trade name.
  • LLC. Liability protection and a professional structure, at $500 a year.
  • Corporation. Also offers liability protection, with different fees and tax rules, including a minimum corporate excise for corporations.

An LLC usually makes sense when your business has real liability risk (customers on your premises, work in people’s homes, employees, contracts with significant exposure), when you have partners, or when you want to look established to larger clients. For a very small, low-risk side business, a sole proprietorship with good insurance may be a reasonable starting point. Ask a Massachusetts accountant or attorney before choosing.

Step 1: Choose your LLC name

The name must include "Limited Liability Company", "Limited Company", or an abbreviation such as "LLC", "L.L.C.", "LC" or "L.C.", and be distinguishable from other names on file with the Corporations Division. Search the state’s business entity database, then check federal trademarks, domains and social handles with our business name checklist.

Step 2: Appoint a resident agent

Massachusetts requires a resident agent with a physical Massachusetts address. You can serve yourself, name another adult or use a commercial agent. The agent must consent to the appointment.

Step 3: File the Certificate of Organization

File a Certificate of Organization with the Corporations Division of the Secretary of the Commonwealth, online or by mail, and pay $500. Massachusetts asks for more detail than many states, including:

  • The LLC’s name, address and general business purpose.
  • The resident agent’s name, address and consent.
  • The names and business addresses of any managers.
  • The names of people authorized to execute documents filed with the Corporations Division, and those authorized to sign documents affecting real property.

These names become public, so decide who should be listed before filing.

Step 4: File a business certificate if you use a trade name

In Massachusetts, a "doing business as" name is registered locally. If your LLC trades under a name different from its legal name, file a business certificate with the city or town clerk in each municipality where you have a place of business.

Step 5: Create an operating agreement

Massachusetts doesn’t require you to file an operating agreement, but every LLC should have one, covering ownership, management, voting and what happens when members join or leave.

Step 6: Get an EIN and open a bank account

Apply for a free EIN from the IRS online, then open a business bank account with your filed Certificate and EIN. See choosing a business bank account.

Step 7: Register for state taxes

Register with the Massachusetts Department of Revenue through MassTaxConnect for:

  • Sales and use tax, if you sell taxable goods or services. Massachusetts’s rate is 6.25%, and meals are taxed too.
  • Employer withholding, if you hire.

Step 8: File your annual report by your anniversary date

Every Massachusetts LLC files an annual report with the Corporations Division on or before the anniversary of its formation, for $500. The report confirms managers, addresses and the resident agent. LLCs that don’t file can be administratively dissolved.

How a Massachusetts LLC is taxed

By default, LLC profits pass through to the owners, who pay federal income tax, self-employment tax and Massachusetts personal income tax at a flat 5%, plus a 4% surtax on income above about $1 million, a threshold adjusted for inflation each year. Multi-member LLCs taxed as partnerships file a Massachusetts partnership return. Massachusetts also allows eligible pass-through entities to elect to pay tax at the entity level. LLCs electing C corporation status pay corporate excise. Ask a tax professional which option suits you.

Hiring your first employee in Massachusetts

Massachusetts employers have several state obligations beyond the federal steps in our first employee guide:

  • Workers’ compensation insurance is required for virtually every employer, even with one employee.
  • Paid Family and Medical Leave (PFML) contributions, generally withheld and remitted through the state’s system.
  • Earned sick time for employees.
  • Unemployment insurance registration with the Department of Unemployment Assistance.
  • State withholding through MassTaxConnect and new-hire reporting.

Your Massachusetts LLC compliance calendar

Example: state costs for your first two years

Year 1 Year 2
Certificate of Organization $500 —
Annual report — $500
State total $500 $500

Add any business certificates, professional or contractor licenses and registrations, and online processing fees. Use our startup cost calculator to plan.

Massachusetts rules for common types of business

Contractors. Residential contractors working on existing owner-occupied homes generally register as Home Improvement Contractors, and those supervising structural work need a Construction Supervisor License. See our Boston contractor guide and hiring a general contractor in Boston.

Food businesses. Restaurants and food trucks are permitted by local boards of health. Some home-based food businesses can operate under a residential kitchen permit from the local board of health.

Childcare. Child care centers and family child care homes are licensed by the state’s early education and care department. See our home daycare guide.

How Massachusetts compares with its neighbors

State Filing fee Yearly state report
Massachusetts $500 $500
New Hampshire $100 $100
Rhode Island $150 $50
Connecticut Moderate filing fee $80
New York $200, plus newspaper publication $9 every two years

The difference adds up, but it doesn’t mean you should form next door. If your business operates in Massachusetts, it must register here as a foreign LLC and pay Massachusetts’s fees as well. Choose your state based on where you actually do business, then budget for its costs. See our New York guide if you work across that border.

Mistakes to avoid

  • Forming an LLC without budgeting $500 a year.
  • Listing people on the Certificate of Organization without thinking about privacy.
  • Missing your anniversary-date annual report.
  • Forgetting local business certificates for trade names.
  • Underestimating payroll obligations, including PFML and workers’ compensation.

Frequently asked questions

Why are Massachusetts LLC fees so high? The state sets its fees by statute, and it has long charged among the highest entity fees in the country.

When is my first annual report due? On or before the first anniversary of your LLC’s formation.

Should I form in another state to avoid the fees? Usually not. An out-of-state LLC doing business in Massachusetts must register here as a foreign LLC and pay Massachusetts fees anyway.

Can I be my own resident agent? Yes, with a physical Massachusetts address.

Does a single-member LLC still pay $500 a year? Yes. The annual report fee doesn’t depend on size, revenue or number of members.

What does it cost to close a Massachusetts LLC? Filing a certificate of cancellation also carries a state fee, so if you’re testing an idea, consider whether to form the LLC now or once the business is proven.
