Virginia offers a large, stable economy, from the Washington, DC suburbs to Richmond and Hampton Roads, and an affordable, online LLC filing process run by the State Corporation Commission. The state-level costs are modest. The things that catch newcomers out are local: many Virginia cities and counties charge a business license tax based on gross receipts and tax business equipment every year.

Fictitious name certificate (if using a DBA) State fee When registering
Local business license (BPOL) Varies by locality, often based on gross receipts Yearly, if your locality requires it
Business personal property tax Varies by locality Yearly, on business equipment

Virginia LLCs don’t file an annual report form; they pay the annual registration fee, and the SCC sends a notice beforehand.

Step 1: Choose your LLC name

The name must include "limited company", "limited liability company", or an abbreviation such as "LLC", "L.L.C.", "LC" or "L.C.", and be distinguishable from other names on record with the SCC. Search the SCC’s business records first, then check federal trademarks, domains and social handles using our business name checklist.

To operate under a different name, file a fictitious name certificate with the SCC.

Step 2: Appoint a registered agent

Virginia has stricter registered agent rules than many states. Your agent must have a Virginia business office address and generally be either:

  • An individual Virginia resident who is a member or manager of the LLC, or of a business that is.
  • A member of the Virginia State Bar.
  • A business entity authorized to act as a registered agent in Virginia, such as a commercial registered agent company.

A friend or relative who isn’t a member, manager or Virginia lawyer usually can’t serve.

Step 3: File Articles of Organization with the SCC

File Articles of Organization online through the SCC’s Clerk’s Information System, or by mail, and pay $100. You’ll include the LLC’s name, the registered agent’s name, qualification and Virginia address, and the principal office address. Online filings are typically processed quickly.

Step 4: Create an operating agreement

Virginia doesn’t require you to file an operating agreement, but every LLC should have one. It records ownership, management, voting and what happens when members join or leave.

Step 5: Get an EIN and open a bank account

Apply for a free EIN from the IRS online, then open a business bank account using your SCC certificate and EIN. See choosing a business bank account.

Step 6: Register for state taxes

Register with Virginia Tax online for:

  • Retail sales and use tax, if you sell taxable goods.
  • Employer withholding, if you hire.

Employers also register with the Virginia Employment Commission for unemployment insurance.

Step 7: Register locally: BPOL and business property tax

This is Virginia’s distinctive step. Many Virginia cities, counties and towns require a Business, Professional and Occupational License (BPOL). Depending on the locality, you may pay a flat fee below certain revenue levels and a tax based on gross receipts above them, with rates that vary by type of business.

Many localities also levy a yearly business tangible personal property tax on equipment, furniture, tools and vehicles used in the business. You’ll file a return listing those assets with your local commissioner of the revenue.

Contact the commissioner of the revenue in the city or county where your business is located before you open.

Step 8: Pay the annual registration fee

Every Virginia LLC pays a $50 annual registration fee by the last day of its anniversary month, starting the year after formation. The SCC sends a notice to the registered agent. If the fee stays unpaid, the LLC’s existence can be automatically canceled, and reinstatement costs more than paying on time.

How a Virginia LLC is taxed

By default, LLC profits pass through to the owners, who pay federal income tax, self-employment tax and Virginia’s graduated personal income tax. Multi-member LLCs taxed as partnerships file a Virginia partnership return. Virginia also allows eligible pass-through entities to elect to pay income tax at the entity level, which can help owners with federal deduction limits. LLCs electing C corporation status pay Virginia corporate income tax. Ask a Virginia tax professional which option suits you.

Hiring your first employee in Virginia

On top of the federal steps in our first employee guide, Virginia employers generally:

  • Register for withholding with Virginia Tax and unemployment insurance with the Virginia Employment Commission.
  • Carry workers’ compensation insurance once they regularly employ more than two people.
  • Report new hires to the state’s new-hire reporting center.
  • Follow Virginia’s minimum wage and pay rules.

Your Virginia LLC compliance calendar

Deadline Filing Paid to
Last day of your anniversary month, yearly Annual registration fee ($50) SCC
Locality’s deadline, often early in the year BPOL license renewal and business property tax return City, county or town
Monthly or quarterly Sales and use tax returns Virginia Tax
As assigned Employer withholding, if you have employees Virginia Tax
Quarterly Unemployment insurance reports, if you have employees Virginia Employment Commission

Example: state costs for your first two years

For a single-member LLC filing online, with a member acting as registered agent:

Year 1 Year 2
Articles of Organization $100 —
Annual registration fee — $50
State total $100 $50

Add your local BPOL license and business property tax, any professional or contractor license, and a fictitious name if needed. Use our startup cost calculator to plan the rest.

Virginia rules for common types of business

Contractors. Virginia requires a contractor license from the Department of Professional and Occupational Regulation (DPOR) for most construction, renovation and repair work above $1,000 per job, in Class A, B or C depending on job size and yearly volume. Specialty trades such as electrical, plumbing and HVAC need tradesman licenses too. See our home services industry profile.

Food businesses. Restaurants and food trucks are permitted by local health departments under the state health department. Some home food producers can sell certain foods under Virginia’s home food rules; see our cottage food business guide.

Childcare. Child day centers and family day homes are licensed by the state education department. Read our home daycare guide.

Northern Virginia, Richmond or Hampton Roads: why location matters

Because so many Virginia business taxes are local, the same business can face different costs a few miles apart. BPOL thresholds and rates, business property tax rates, and zoning rules for home-based businesses all vary between cities, counties and towns, and Virginia’s independent cities set their own rules separately from the surrounding counties.

Before choosing a location, ask the commissioner of the revenue in each place you’re considering:

  • Whether a BPOL license is required, the revenue threshold for paying tax rather than a flat fee, and the rate for your type of business.
  • How business equipment and vehicles are taxed.
  • Whether home-based businesses need a home occupation permit.

The differences rarely decide where you open, but they belong in your budget and your break-even calculation.

Mistakes to avoid

  • Naming an ineligible registered agent. Check Virginia’s qualification rules.
  • Skipping the local BPOL license and business property tax return.
  • Missing the annual registration fee, which can lead to automatic cancellation.
  • Contracting above $1,000 without a DPOR license.
  • Mixing personal and business accounts.
  • Forgetting the fictitious name certificate when trading under a brand name.

Frequently asked questions

How long does it take to form a Virginia LLC? Online filings with the SCC are often processed within a day or two.

Do Virginia LLCs file an annual report? No report form, just the $50 annual registration fee each year. Keep your registered agent’s address current so the SCC’s notice reaches you.

Can a friend be my registered agent? Only if they meet Virginia’s rules, for example by being a member or manager of your LLC or a Virginia lawyer. Otherwise use a commercial agent.

I live in Virginia but work in DC or Maryland. Where should I form? Generally where the business is based, then register in other places where it regularly does business. Ask a professional for cross-border situations.
